1. Introduction & Agreement

Welcome to Second Life Sound, a project and property of Kivfer Holdings Inc. By purchasing, using, or accessing our custom testimony song services, you agree to be bound by these Terms and Conditions. These terms apply to all customers, visitors, and users.

2. Definitions

“We” / “Us” / “Our” refers to Second Life Sound, Kivfer Holdings Inc., and its brands, including but not limited to Faith Code Studio.

“Customer” / “You” refers to the individual purchasing or engaging with the custom song creation service.

“Testimony” / “Story” means the narrative, life experience, or personal content provided by the customer.

“Song” means the final audio product created using customer-submitted content and AI tools.

“AI Tools” includes Suno, ChatGPT, and any other generative platforms used in the creative process.

“Affiliate” means any partner, sub-licensee, licensee, brand, or representative connected with Kivfer Holdings Inc.

3. Service Description

Our service converts real testimonies and life experiences into custom, original worship songs. Customers submit stories through an interview process, which is then transformed into song lyrics, style guides, and audio recordings using AI tools.

4. Use of AI Tools

We use third-party artificial intelligence tools (including but not limited to Suno and ChatGPT) to aid in the creation of songs. These tools may change over time. You acknowledge and agree that the creative process may include input from such systems, and that their terms and service availability may evolve.

5. Ownership & Licensing

Second Life Sound and its parent company Kivfer Holdings Inc. retain full copyright and commercial ownership of all songs produced through this service. This includes all rights to distribute, monetize, modify, or remove the content at our sole discretion.

Customers are granted a perpetual, non-exclusive, non-commercial license to use, share, and enjoy their custom song across personal platforms, private events, and non-commercial social media.

Commercial uses—including but not limited to public licensing, monetized content, synchronization in media, or resale—are strictly prohibited unless expressly approved in writing.

6. Rights for Partners & Affiliates

By participating in our service, you grant Second Life Sound, Kivfer Holdings Inc., Faith Code Studio, and any current or future partner, affiliate, licensee, or sub-licensee the perpetual, royalty-free right to use your story and final song across all media for production, marketing, and promotional use.

7. Minimum Distribution Guarantee

We guarantee availability of your song on major streaming platforms (e.g., Spotify, Apple Music) for a minimum of five (5) years from the date of publication. After this period, we reserve the right to remove or discontinue the song.

8. Platform & Hosting Limitations

We make no guarantees about continued access or support on third-party services (e.g., TikTok, YouTube, Instagram). These platforms may change policies or remove content without notice.

9. Customer Representations

You affirm that any content, story, testimony, image, or media you provide is original to you or you have permission to share it. You take full responsibility for the accuracy and legality of your submission.

10. Content Usage Permissions

By submitting your testimony and approving the final story, you agree that we may:

• Use content in lyrics, titles, descriptions, and captions
• Use your name, story, or image in our promotional videos and marketing content

11. Right of Removal

You may request the removal of your song and associated media by sending a written request to support@secondlifesound.com. We will honor the request within 30 days.

12. Revenue Rights

You agree that all revenue generated from your custom song (including streaming, sales, licensing) is owned solely by Second Life Sound and its affiliates.

13. Creative Revision Policy

Second Life Sound is committed to delivering a worship song that reflects your testimony with artistic excellence and spiritual integrity. To ensure clarity and creative flow, the following limits apply to the production process:

• Clients may request up to 2 musical genres per testimony
• A maximum of 3 song versions per genre will be provided
• Up to 3 total rounds of revisions may be submitted (regardless of version or genre)

This structure allows for up to 18 creative iterations. Beyond this, any additional work may require an extended revision fee or new project scope.

By placing an order, you acknowledge and accept these terms.

14. Refund Policy

We offer a full refund within 30 days of purchase, provided the song has not yet been published. Once a final version of the song has been approved and delivered, the project is considered complete and no refunds will be issued.

If you are unsatisfied during the process, we encourage you to share feedback early so we can make adjustments within the defined revision limits.

To request a refund, email support@secondlifesound.com and include your Order Number and date of purchase.

15. DMCA & Copyright Claims

If a third-party claim or takedown notice is received, we will follow standard DMCA procedures. You agree to cooperate in resolving such claims, especially if related to content you submitted.

16. Disclosure of Risk (AI)

AI-generated content is a developing field. Some platforms or legal bodies may impose future restrictions. We are not liable for content removal or policy changes resulting from AI-related developments.

17. Indemnification

You agree to indemnify and hold harmless Second Life Sound, Kivfer Holdings Inc., and affiliates from any claim or legal issue arising from your submitted content.

18. Limitation of Liability

We are not liable for losses related to platform removals, AI outputs, missed opportunities, or any indirect damages arising from use of our services.

19. Modifications to Terms

We reserve the right to modify or update these Terms and Conditions at any time. Continued use of our services after changes indicates your acceptance of the revised terms.

20. Governing Law & Dispute Resolution

These Terms and any related transactions shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, including breach or termination thereof, shall be resolved through binding arbitration or litigation exclusively within the Province of Manitoba.

By engaging with our services, you irrevocably submit to the exclusive jurisdiction and venue of the courts or arbitration panels located in Manitoba, Canada, and waive any objection to such jurisdiction on the grounds of inconvenient forum or otherwise.
